You agree that Bella Legal Assistants can have access to your client's data, and that if your have purchased client follow-up services, that we may contact your client on your behalf.

You agree that Bella will act on your behalf as an independent contractor or service provider. At not time will Bella or its staff be considered your employees.

Services

Bella agrees to provide services during the term of this contract. Services include phone reception, follow-up with clients of customer, preparation of immigration forms, preparation of application packets for client review, translations from English to Spanish or Spanish to English, the collection of information from clients of the customer and other similar assistance.

Customer agrees to not request the Bella Assistant to perform any work which would include giving legal advice to their customers or providing information that consists of legal advice. Legal conclusions, legal research and legal strategy are not included in the Bella Assistants Services. The only legal conclusions, legal results or legal advice that can be communicated by the Bella Assistant is that which is required to communicate to client on behalf of the attorney, and the assistant will make sure that the client of the customer knows that such conclusions or advice are provided by the attorney and only communicated by the Bella assistant.

All forms prepared on behalf of the attorney (customer), and all packets prepared for customer are intended to be reviewed by the customer before being signed but the attorney and client and submitting to the government. The Bella Assistant works under the direction and supervision of the customer (attorney).

Customer agrees that Bella may represent themselves as working for your firm while performing purchased services. This is to ensure a smooth user experience for your clients. Customer agrees that their client may provide documents directly to Bella via email, or other electronic means and Bella agrees to maintain all documents and information confidential.

Confidentiality

Bella agrees that any information received, viewed, or that Bella or its employees are exposed to from customer, is confidential and will not be revealed, transmitted or provided to anyone outside of the customer’s law firm, or outside Bella Legal Assistants. All information of customers clients will remain confidential and when transmitted or sent electronically, will be done via secure means.

Termination of Services

For case-by-case services Bella agrees to provide services and requires that the case be completed in a reasonable time. If a case is in pending status (not due to the fault of Bella) for more than 4 weeks, Bella may deliver the product completed as much as is possible and then close the case with no more responsibility for client follow-up or case preparation.

Professional Decorum

The parties to this agreement that they will always communicate with each other and the customers clients with respect, patience, empathy and understanding that many times the customers clients may be in crisis or extremely difficult life situations. Good communication is key to a successful business and the parties agree that they will not communicate in crude, rude, or abusive language. If a customer’s client consistently acts abusively toward Bella, the Bella assistant will communicate this to customer and may inform that they can no longer contact that individual. Customer agrees to not use abusive, threatening or sexually harassing or abusive language to a Bella employee. If customer violates this term of the agreement, Bella may cancel the contract without refund and customer will continue to be liable for the total dollar amount for services under this contract as stated above.

Non-Solicitation of Customers Clients

Bella Legal Assistants will not solicit clients of customers nor take any action that would cause the customer’s clients to be estranged from them.

Non-Solicitation of Bella Legal Assistants Employees

Customer agrees that they will not communicate with their assigned assistant outside of the methods provided by Bella Legal Assistants. Customer agrees to not solicit employees of Bella Legal Assistants to work directly for them or their law firm or for any other business or employment concern. The parties agree that doing so or attempting to do what is described in this section will subject the customer to an immediate charge og $500, the contract will be considered breached with no refund and the customer agrees to pay a liquidated damages amount of $20,000.

Choice of Venue

Should it ever become necessary, the parties agree to Ottawa County, Michigan as the venue, and the laws of the state of Michigan to resolve any contractual or legal disputes that arise under this contract.

Attorneys Fees and Costs

The parties agree that for any dispute that arises under this contract, the customer will pay their own attorneys fees and will also pay the attorney fees of Bella Legal Assistants regardless of whom the prevailing party is in any contest, and this includes the payment of attorney fees for preparation and representation in any arbitration, negotiation, collection or court action.

Requirement of Arbitration

The parties to this contract agree that any dispute that arises under this contract shall be resolved by binding arbitration provided by an attorney-arbitrator mutually agreed upon who practices law in the county of Kent, Ottawa, or Allegan, in the state of Michigan. The customer agrees to pay the costs of any binding arbitration.

Entirety of Agreement

The parties agree that this document contains the entirety of the agreement and there are no other collateral promises that have been made to induce the signing of this document.

Severability

If any term of this agreement is ruled to be invalid by a court of law, then that provision will be severed from this agreement while the remainder of this document will remain intact and in full force.
